arty A: Online English foreign teacher service purchaser

Party B: Philippines Wordwise English Online

When Party A purchases the online English foreign teacher service provided by Party B, it is deemed that the following contract (hereinafter referred to as "this contract") is reached and observed by both parties.

1. Party A and Party B are subjects with full civil capacity, and this contract constitutes binding and enforceable obligations for both parties.

2. Party A has the right to freely use the language and cultural services provided by the online classroom platform provided by Party B, and has the right to receive corresponding technical support and services from Party B.

3. Party A and Party B must abide by relevant national laws and regulations, and shall not have any illegal acts endangering national security, divulging state secrets and other illegal acts. Otherwise, Party A shall bear the legal liability caused by the violation of the above provisions and compensate Party B for the economic and reputation losses caused thereby.

4. Both Party A and Party B are obliged to keep confidential the other party's information (including but not limited to personal information, technical data, etc.) obtained by signing this contract, and shall not disclose any confidential information to any third party without the written consent of the other party. If one party violates the above agreement, it shall be liable for breach of contract in accordance with this contract and compensate the other party for all losses incurred thereby.

5. Party B shall provide Party A with online foreign teacher services and provide electronic documents of all teaching materials (including electronic textbooks, exercise books, supporting audio and video, software, etc.), instead of paper teaching materials of the course. All teaching materials shall be purchased by Party A as needed.

6. Leave, absence and make-up

Party A shall enter the classroom on time at the agreed class time. If you need to ask for leave in case of absence, you should inform the teacher in the exclusive service group 2 hours in advance, and make an appointment with the teacher. If the teacher does not cancel the class in time due to the failure to inform in advance, it will be charged according to the normal class.

7. Recording video lessons

In order to ensure the students' learning progress and positive learning result, if the student cannot do a make up class within 7 days after a missed lesson, the teacher will record a video of the current lesson and send it to the student. The student should carefully watch the video and complete the exercises and homework according to the teachers' requirements. Audio recording and written exercises are to be submitted in the group chat within 6 days.

The video class will be charged according to the normal class.

8 Late

If the student enters the classroom late, the teacher can delay the class time or finish the class at the originally agreed time. If either the teacher or the student cannot carry out successfully the class due to network failure, the teacher and the student can cancel the class and agree on a time for a make-up class in the service group. This failed class will not be charged.

9. Request for a new teacher

Wordwise encourages foreign teachers and students to establish a long-term and stable relationship, but if students are not adapted to or satisfied with the teacher's style and attitude in class, they can request to change the teacher at any time.

10. Party A clearly understands and agrees that Party B's English teaching staff and consultants are an important supporting force for Party B's progress and development. Without the consent of Party B, no one shall induce Party B to terminate or terminate the service relationship with Party B, or be employed by Party A or introduced to others (whether formal, part-time or contractual). In case of any violation, Party A shall bear the expenses incurred by Party B to fill the vacancy, and shall pay liquidated damages to Party B (calculated from 30000 yuan). Party A shall not enter into any service transaction with the online language teacher privately. In case of any violation, Party A shall pay Party B a penalty of at least RMB 10000.

11. The class hours purchased by Party A from Party B can be used for an unlimited period of time.

If Party A proposes to refund the fee within 10 days (inclusive) from the effective date of the contract, Party B shall return the balance of Party A's pre deposited class fee to Party A's account after deducting the construction service fee within five working days; After 10 days (excluding) from the effective date of this contract, Party B will no longer return the balance of class fees deposited by Party A, but Party A can transfer classes to others, and Party B shall acknowledge and cooperate with Party A in transferring classes to others.

12. This contract shall come into force after the successful online payment of Party A. Matters not covered in the contract shall be settled by both parties through friendly negotiation first; If the negotiation fails, either party has the right to bring a lawsuit to the people's court where Party B is located.
